End-User License Agreement

1. Introduction

Welcome to Scribo AI ("Company", "we", "us", or "our"). These Platform Terms of Use ("Terms") govern your access to and use of our AI-powered clinical documentation platform (the "Platform"), designed to assist licensed healthcare professionals by transcribing, summarizing, and structuring clinical encounters in real-time.

By accessing or using the Platform, you confirm that you have read, understood, and agreed to be legally bound by these Terms.

If you do not agree with any part of these Terms, you must not access or use the Platform.

2. Eligibility

Use of the Platform is restricted to:

  • Licensed healthcare professionals (e.g., physicians, nurse practitioners, allied health professionals).
  • Healthcare organizations and their authorized representatives.

By using the Platform, you warrant that you have the authority and credentials to use the services as part of clinical practice.

3. License Grant

We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Platform for your clinical documentation activities, subject to compliance with these Terms.

You may not sublicense, distribute, sell, or otherwise commercially exploit the Platform without our prior written consent.

4. Platform Purpose and Disclaimer

The Platform provides real-time clinical transcription and note generation to assist clinicians. It does not replace your professional judgment and is not a substitute for independent medical decision-making.

You acknowledge and agree that:

  • You retain sole responsibility for reviewing, verifying, and confirming the accuracy and completeness of all outputs before using them for clinical, legal, or billing purposes.
  • You must not rely solely on the Platform to make any diagnosis or treatment decision.

5. Data Processing and No Storage Policy

Real-Time Processing: Clinical conversations are processed in real time, and the generated notes are displayed directly to the user interface.

No Data Storage: We do not record, retain, or store any clinical data, audio recordings, or Protected Health Information (PHI) on our servers or systems.

Encryption: Data is encrypted during transmission using industry-standard encryption (TLS 1.2 or higher).

The Platform is designed as a "user-facing only" tool where control remains solely with the user.

6. User Responsibilities

As a user of the Platform, you agree to:

  • Maintain the confidentiality and security of your account credentials.
  • Verify the accuracy of any content generated by the Platform before including it in any official record.
  • Use the Platform in compliance with all applicable local, provincial, state, national, and international laws, including HIPAA, PIPEDA, PHIPA, and equivalent privacy and security regulations.
  • Immediately cease use of the Platform if you suspect unauthorized access or data security issues.

7. Acceptable Use Policy

You may not:

  • Use the Platform for any unlawful purpose.
  • Input any data that you are not authorized to process.
  • Attempt to probe, scan, or test the vulnerability of the Platform.
  • Attempt to reverse-engineer, disassemble, or otherwise misuse the Platform.

8. Intellectual Property

All intellectual property rights, including software, AI models, design elements, and trademarks, are owned exclusively by Scribo AI and its licensors.

No rights are granted except as expressly stated in these Terms.

9. Service Availability and Limitations

While we strive to provide a reliable service, the Platform may occasionally be unavailable due to maintenance, updates, or unexpected disruptions.

We do not guarantee 24/7 uptime or uninterrupted service.

10. Termination

We reserve the right to suspend or terminate your access to the Platform immediately and without notice for violation of these Terms, unlawful activity, or suspected harm to the security, integrity, or functioning of the Platform.

11. Limitation of Liability

To the maximum extent permitted by law, Scribo AI is not liable for:

  • Any indirect, incidental, special, punitive, or consequential damages.
  • Errors or inaccuracies in transcriptions or generated content.
  • Decisions made by healthcare providers relying on Platform outputs.

Your sole and exclusive remedy for dissatisfaction with the Platform is to stop using it.

12. Changes to These Terms

We reserve the right to amend these Terms at any time. Changes will become effective upon posting. Your continued use of the Platform following any modifications constitutes acceptance of those changes.
