Terms of Use – Scribo AI Inc.

These Terms of Use ("Terms") govern your access to and use of Scribo (the "Service"), operated by Scribo AI Inc. ("Scribo," "we," "our," or "us"). By accessing or using the Service, you agree to be bound by these Terms.

1. Purpose of the Service

Scribo provides AI-assisted clinical documentation support intended to assist licensed healthcare professionals during patient encounters. The Service supports documentation and workflow activities only and does not independently diagnose medical conditions, prescribe treatments, or determine reimbursement, coverage, or payment outcomes.

Scribo assists with:

  • Documentation suggestions
  • Structuring and phrasing of clinical notes
  • Summarization of encounter information
  • Documentation-related prompts and guidance
  • Billing- and coding-related documentation suggestions

All outputs are advisory and assistive in nature.

2. Advisory Nature & Professional Responsibility

Scribo does not replace clinical judgment or professional responsibility. Healthcare professionals remain solely responsible for:

  • Clinical interpretation and decision-making
  • Accuracy and completeness of medical records
  • Diagnostic, treatment, and care decisions
  • Billing and coding accuracy and submissions
  • Compliance with applicable professional and legal obligations

AI-generated outputs must be reviewed, verified, and adjusted as necessary prior to use.

3. Intended Users & Consent

The Service is intended for use by licensed healthcare professionals in clinical or supervised patient-facing settings. By using the Service, you represent that:

  • You are authorized to use the Service
  • You have obtained any required patient consent
  • Your use complies with applicable healthcare, privacy, and professional regulations

4. Data Processing & Use

Information provided to Scribo is processed solely to deliver and operate the Service. Scribo does not use data for advertising, profiling, or purposes unrelated to providing the Service.

5. Data Retention

Clinical transcripts and related data are stored securely for a limited period (typically no longer than 24 hours) and are automatically deleted in accordance with Scribo's retention practices.

6. No Model Training

User and patient data is not used, stored, or retained to train, fine-tune, or improve any artificial intelligence or machine learning models operated by Scribo or any third party.

7. Cloud Infrastructure, Storage & Cross-Border Processing

Scribo uses Microsoft Azure enterprise cloud infrastructure and AI services.

  • Data storage: Clinical data is stored in Canada using Microsoft Azure.
  • Data processing: Certain processing activities, including AI-based processing, may occur outside of Canada, including in the United States.
  • Safeguards: All cross-border processing is subject to safeguards that meet or exceed Canadian healthcare data protection standards, including PIPEDA and applicable provincial health privacy laws.
  • Accountability: Scribo AI Inc. remains accountable for all data handling and applies consistent security and privacy controls regardless of processing location.

By using the Service, you acknowledge and consent to this processing.

8. Security Safeguards

Scribo implements industry-standard safeguards, including:

  • Encryption in transit and at rest
  • Authenticated user access
  • Restricted internal access controls
  • Limited data retention

Scribo is designed to support compliance with HIPAA (United States) and PIPEDA (Canada) when used appropriately.

9. Regulatory Positioning

Scribo:

  • Is not a medical device
  • Is not an autonomous clinical decision system
  • Does not replace licensed healthcare professionals

10. Acceptable Use

You may not:

  • Rely on Scribo as standalone medical or billing advice
  • Use Scribo for automated diagnosis, treatment, or billing submission
  • Use the Service in violation of applicable laws or regulations

11. Disclaimer of Warranties

The Service is provided "as is" and "as available." Scribo AI Inc. makes no warranties regarding accuracy, completeness, reliability, or uninterrupted operation.

12. Limitation of Liability

To the maximum extent permitted by law, Scribo AI Inc. is not liable for clinical outcomes, billing outcomes, documentation errors, or any indirect, incidental, or consequential damages.

13. Indemnification

You agree to indemnify and hold harmless Scribo AI Inc. from claims arising from improper use of the Service, failure to obtain required consent, or clinical or billing decisions made using the Service.

14. Modifications

Scribo AI Inc. may update these Terms from time to time. Continued use of the Service constitutes acceptance of the updated Terms.

15. Governing Law

These Terms are governed by the laws of Canada and the Province of Ontario, without regard to conflict-of-law principles.
